02Membership and rights
Ordinary members · voting
Singapore-registered business entities operating physical optical retail outlets, together with eligible trade-related community platforms.
Associate members · non-voting
Trade-related suppliers, laboratories, manufacturers and technology providers, as well as professional business-service partners supporting the optical sector.

04Council and representation
The elected Council comprises 8 to 12 members: four Executive Committee office-bearers and at least four non-Executive Committee members. Representation is drawn from independent retailers, mini-chain groups, chain-store groups and community platforms.
05Committees and Secretariat
Standing work covers membership, member engagement, training and workforce, business capability, policy consultation, corporate social responsibility and public health, ethics and discipline, and research and data.
The Secretariat supports membership administration, communications, events, partnerships, grants, records, analysis and governance.
06Meetings and voting
An Annual General Meeting is held each year, with no more than 15 months between meetings. Members receive 30 days’ notice. The quorum is 25% of Ordinary Members, while constitutional amendments, removal and dissolution require a two-thirds special majority.
07Financial safeguards
OTAS operates on a non-profit basis with a 31 December financial year-end, dual-authorisation controls that include the Treasurer, reserves targeted at a minimum of six months’ operating expenses, and an annual independent audit. Procurement, sponsorship, grants, expenses and budgets are governed by written policies.
08Compliance and dissolution
OTAS is committed to competition law, ethical review, personal-data protection and appropriate insurance. Members must not coordinate prices, markets, wages or boycotts. On dissolution, remaining assets are transferred to a non-profit body with similar objectives or to vision research and treatment.
